Description:

The purpose of this request for proposal (RFP) is to engage the services of a qualified firm of Municipal Advisors which is registered with the Securities and Exchange Commission (SEC) and the Municipal Securities Rulemaking Board (MSRB).

The scope of the prospective contract will be to serve as Municipal Advisor to the Issuer for a contemplated debt issuance to fund construction of two County buildings. The estimated total cost of construction is $29 million.

The Municipal Advisor will provide advice towards the type and amount of issuance of new Municipal Securities to fund the contemplated construction projects. This will include planning for the new issuance, managing the debt issuance, and the financial implementation for the debt issuance.

The Municipal Advisor will provide advice towards any outstanding issuances throughout the term of this contract such as exercising calls, advising on refundings, tender offers, and providing guidance on continuing disclosures.

Qualifications:
The bidder is responsible for providing all information requested in this RFP and failure to do so may result in disqualification of the proposal. During the evaluation process, the County may request firms to answer further questions about their proposal.

Firms are requested to present the following information:
• Present all transaction fees and identify which fees are to be proposed on a not-to-exceed basis. Describe any conditions attached to your fee proposal, and explicitly state which costs are included in the fee proposal and which costs are to be reimbursed.
• Provide at least three references from other public-sector clients, preferably from ones that the firm provided similar service to those proposed to be undertaken as the result of this RFP.
• Relevant experience of the individuals to be assigned to the issuer, identification of the individual in charge of day-to-day management, and the percentage of time committed for each individual on the account.
• Discussion of the firm’s Municipal Advisor experience necessary to assist issuer with either competitive or negotiated sales.
• Demonstration of the firm’s understanding of the issuer’s financial situation, including ideas on how the issuer should approach financing issues such as bond structures, credit rating strategies, and investor marketing strategies.
• Disclosure of the firm’s affiliation or relationship with any broker-dealer and whether any personnel of the Municipal Advisor firm who would provide advice to the issuer were associated with a broker-dealer firm within the two years preceding the RFP.
• Amounts and types of insurance carried, including the deductible amount, to cover errors and omissions, improper judgments, or negligence.
• Disclosure of any finder’s fee splitting, payments to consultants, or other contractual arrangements of the firm that could present a real or perceived conflict of interest.
• Disclosure of any pending investigation of the firm or enforcement or disciplinary actions taken within the past three years by SEC, FINRA, MSRB, or other regulatory bodies.

Grand County will not be responsible for expenses incurred in preparing and submitting the proposal. Such costs should not be included in the proposal.
